
THE EDUCATION FOUNDATION FOR EQUINE CLICKER TRAINERS (Click-EFFECT)
Under Section 402 of the Not-for-Profit Corporation Law:
The undersigned, a natural person of the age of eighteen years or over, acting as incorporator of a corporation under New York State Not-For-Profit Corporation Law, does hereby adopt the following Certificate of Incorporation for such corporation:
ARTICLE I
The name of the corporation is Education Foundation for Equine Clicker Trainers (Click-EFFECT), sometimes called herein “the corporation”.
ARTICLE II
The corporation is a corporation as defined in subparagraph (a)(5) of Section 102 of the Not-For-Profit Corporation law.
ARTICLE III
The corporation is organized exclusively for charitable and educational purposes, which are:
a. to develop, promote and disseminate educational materials and information regarding the use of the science of Operant Conditioning and Positive Reinforcement in the training of companion animals with a primary emphasis on horses.
b. to provide and advance education to horse owners, trainers and the general public.
c. to solicit, receive, and distribute funds for such purposes, and to make and perform any contracts and to do any other acts suitable for, or incidental to, the accomplishment of such purposes, but not for the pecuniary profit or financial gain of its trustees or officers except as permitted under the Not-For-Profit Corporation Law.
ARTICLE IV
The Corporation shall be a Type B corporation under Section 201 of the Not-For- Profit Corporation Law.
ARTICLE V
Notwithstanding any other provision of these articles, the corporation is organized exclusively for the purposes specified in Section 501(c)(3) of the Internal Revenue Code of 1954 and shall not carry on any other activities not permitted to be carried on by (a) a corporation exempt from federal income tax under such section, or (b) by a corporation, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code.
ARTICLE VI
No part of the net earnings of the corporation shall inure to the benefit of, or be distributable to, its members, trustees, directors, officers, or other private persons, except that the corporation shall be authorized to pay reasonable compensation for services rendered and to make payments and distribution in furtherance of its purposes.
ARTICLE VII
No substantial part of the activities of the corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation (except as otherwise provided by Section 501(h) of the Internal Revenue Code, or to the federal government, or state or local government for a public purpose upon approval of a Justice of the Supreme Court of the State of New York
ARTICLE IX
In any taxable year in which the corporation is a private foundation as described in Section 509(a) of the Internal Revenue Code of 1954, the corporation shall distribute its income for said period at such time and in such manner as not to subject it to tax under Section 4942 of the Code; and the corporation shall not (a) engage in any act of self-dealing as defined in Section 4941(d) of the Code; (b) retain any excess business holdings as defined in Section 4943(c) of the Code; (c) make any investments in such manner as to subject the corporation to tax under Section 4944 of the Code; or (d) make any taxable expenditures as defined in Section 4945(d) of the Code.
ARTICLE X
The office of the corporation is to be located in the County of Rensselaer, State of New York
ARTICLE XI
A board of trustees, the number of which is to be no less than three, shall operate the corporation.

ARTICLE XIII
The Secretary of State is hereby designated as agent of the corporation upon whose process it may be served. The post office address to which the Secretary shall mail a copy of any process against the corporation served upon him is: Education Foundation for Equine Clicker Trainers, 38 Anna Lane, Sand Lake, NY 12153.
ARTICLE XIV
The duration of the corporation is to be perpetual.
ARTICLE XV
Under the New York Not-For-Profit Corporation Law this Certificate of Incorporation requires the consent of the New York State Department of Education.
